We need a creative and adaptable General Counsel who can help us achieve our mission while protecting our organizational health and assets and strategically managing our risks. We are looking for someone with excellent judgment, discretion, the ability to oversee significant projects, and who has experience providing counsel to executives.
What You’ll Be Responsible For
As General Counsel, you would be responsible for overseeing the legal affairs of WorkMoney, Inc., a 501(c)(4), and its sibling organization, WorkMoney Foundation, a 501(c)(3).
- Guide legal and risk mitigation strategy: ensure that WorkMoney conducts its business in compliance with all applicable laws and regulations, and serve as legal advisor to WorkMoney’s leadership
- Provide continuing counsel and guidance on legal matters and on legal implications of all matters related to non-profit tax law compliance, advocacy and political work, digital content creation and publishing, products and services partnerships, digital and telephone communications, marketing, fundraising, and corporate governance for non-profit organizations and their for-profit subsidiaries
- Work cooperatively and strategically with program and department teams to help solve problems and advise on legal and compliance issues
- Document Negotiation and Review: Review, draft, and negotiate agreements and related documents on a variety of transactions, including vendor agreements, partnership agreements, grants, investments, and technology agreements
- External Counsel Management: Select and manage external legal counsel as necessary, ensuring their advice and services align with WorkMoney’s needs and objectives
- Regulatory Compliance and Strategy: Stay abreast of relevant regulatory changes, particularly those relating to non-profits, assessing their potential impact on WorkMoney and guiding strategic compliance. Craft a strategic approach to proactive policy engagement for issues materially relevant to WorkMoney entities
- Legal and Compliance framework: Ensure that all legal documents, including contracts, agreements, and policies, are cohesive, internally consistent, credible, and user-friendly. Develop and control compliance processes and documentation
- Corporate Governance: Maintain corporate records, and prepare relevant Board documents such as minutes, resolutions, and annual reports
- Employment and Labor: provide counsel on HR, employee and labor relations, and personnel matters and work with appropriate outside counsel to meet the objectives of WorkMoney
- Process and Protocol Development: Develop and maintain systems for document version control, notice obligations for Terms of Service and privacy policy changes, non-disclosure agreement expiration/coverage, and all other legal processes
- Supervise our Compliance Manager, who will help support our legal function by overseeing, developing and maintaining contracting and legal operations playbooks, contract templates and libraries, and other tools
- Educate and train the team on risks and obligations related to legal issues facing WorkMoney, including tax laws governing exempt organizations, advocacy and political law, fundraising, and corporate governance
What You’ll Need to be Successful
We are looking for a nimble, experienced GC who can switch contexts effortlessly, communicate successfully with a variety of audiences, and brings an appetite for the complexity demanded by our expansive mission.
Required Qualifications
- At least 10 years of legal experience, preferably with prior experience in an in-house nonprofit legal role
- Some combination of experience in and understanding of legal and regulatory frameworks related to advocacy and political work, digital content creation and publishing, products and services partnerships, digital and telephone communications, marketing, fundraising, employment and labor, and corporate governance for non-profit organizations and their for-profit subsidiaries
- Demonstrated expertise with contract review and negotiation
- Exceptional ability to analyze legal documents and regulatory guidance, ensuring both accuracy and accessibility for non-expert audiences
- Excellent written and verbal communication skills, capable of explaining complex legal concepts clearly and providing program-focused legal advice
- Strong leadership qualities, with the ability to manage legal projects, coordinate with external counsel, and contribute to strategic planning
- Adaptability and creativity: a proactive and adaptable mindset, ready to handle the evolving legal needs of a fast-paced, innovative organization, and a creative problem-solver
- Ability to expertly represent WorkMoney in negotiations with vendors, partners, and other stakeholders
